Terms of Service

1. Acceptance of Terms

By accessing or using ClawConnect ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ClawConnect is an AI automation platform that provides local desktop software for running AI-powered agents with multi-channel messaging integration. The Service includes a web dashboard, cloud functions for account management, a desktop application, and hands-on implementation support.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service. One person may not maintain more than one free account.

4. Pricing, Payments, and GST

Implementation Fee: A one-time A$6,000 AUD implementation fee, paid in full upfront, is required to get started. This includes your hosted instance, A$1,300 in platform credits, and full setup and configuration. Your first department is live within days and your full team by day 14.

30-Day Pilot: Optionally, you may start with a one-time A$1,500 AUD Pilot. This gets one department live for 30 days, with setup, fair-use AI, and a weekly check-in included. If you continue within 60 days, 100% of the A$1,500 is credited against your implementation fee. A limited number of Pilot slots are available each month.

Subscription Plans: After implementation, you choose a monthly subscription:

• Growth: A$997/month — up to 3 departments live, fair-use AI included (no meters or token maths), priority support within 24 hours, monthly group strategy calls and workflow reviews, private community access
• Scale: A$2,500/month — every department live on one company brain, fair-use AI included (no meters or token maths), hands-on implementation assistance and custom support, dedicated account manager with 24-hour response, quarterly optimisation reviews, direct founder access and early feature access

Fair-Use AI (subscribers): Active Growth and Scale subscriptions include AI usage on a fair-use basis — no meters, no token maths, and no usage packs to manage. Fair use means usage consistent with operating your business's subscribed departments through ClawConnect. If your usage is exceptional (sustained well beyond what comparable businesses use — for example, automated bulk generation unrelated to your departments), we will contact you privately to discuss options, which may include tailored terms. We will never silently cut you off or add surprise charges: any change follows a conversation.

Pay-As-You-Go (no active subscription): Without an active subscription (for example, after cancellation), AI usage is billed per-request from a prepaid credit balance at pay-as-you-go rates, which are higher than subscriber rates. Credits can be purchased from the dashboard and do not expire.

Payment Methods: We accept card payments (including Apple Pay and Google Pay), processed securely through Square.

GST: All prices displayed on the ClawConnect website and dashboard are in Australian Dollars (AUD) and exclude GST. For Australian customers, GST of 10% will be added where applicable in accordance with Australian tax law. Tax invoices are available on request.

Legacy Licences: Customers who purchased a one-time desktop licence (A$3,000) prior to March 2026 retain their existing licence terms. These licences are grandfathered and are no longer available for new customers.

5. Subscriptions and Cancellation

Billing Cycle: Subscriptions are billed monthly on the anniversary of your subscription start date.

Tier Changes: You may upgrade or downgrade between Growth and Scale at any time. Changes take effect at the start of your next billing cycle. No proration applies.

Cancellation: You may cancel your subscription at any time from the Billing section of your dashboard. Cancellation takes effect at the end of your current billing cycle — you retain access until then. No partial refunds are issued for unused portions of a billing cycle.

Effect of Cancellation: After cancellation, your subscription benefits — fair-use AI, support, and community access — end at the close of your final billing cycle, and your account reverts to pay-as-you-go billing. Any prepaid credits remain in your balance and can be used at pay-as-you-go rates. The desktop application continues to function.

Reactivation: You may reactivate your subscription at any time without paying the implementation fee again.

6. Scale Tier — Support

Implementation Support: Scale tier subscribers receive hands-on implementation assistance through ClawConnect support channels.

Scope: Implementation support covers workflow implementation, integration setup, troubleshooting, and strategic guidance. It does not cover custom software development, third-party service support, or work outside the ClawConnect platform.

Support Diagnostics: With your owner or authorised admin approval, support may run scoped diagnostic actions on your desktop app to troubleshoot failures. These actions do not grant ongoing remote control or arbitrary local file access. Diagnostic log sessions are time-limited, source-allowlisted, redacted before upload, and related support diagnostic artifacts are retained for 60 days.

7. AI Usage, Fair Use, and Pay-As-You-Go

Subscribers: AI usage is included with active Growth and Scale subscriptions on the fair-use basis described in Section 4. For transparency, your Usage dashboard still shows per-request activity — this is visibility, not a bill.

Pay-As-You-Go accounts: Usage is billed per-request from your prepaid credit balance, with full token-level detail visible in your Usage dashboard.

Auto-Refill (pay-as-you-go): You may enable automatic credit top-ups when your balance falls below a threshold you set. Auto-refill uses your stored payment method and can be disabled at any time.

Cost Guard: You may set a daily spending ceiling to control costs. When the ceiling is reached, AI requests will be paused or you will be warned, depending on your settings.

8. Acceptable Use and Prohibited Uses

You agree not to:

• Use the Service for any illegal activity or to violate any laws
• Attempt to gain unauthorised access to other users' accounts or data
• Use the Service to send spam, phishing, or malicious content
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Circumvent licence binding, device limits, or credit billing mechanisms
• Resell access to the Service without written permission
• Use AI to generate synthetic, deepfake, or misleading content for deception or fraud
• Use AI to create harassment, threats, abuse, or defamatory content targeting any person or group
• Use AI to generate content violating child safety laws or promoting exploitation
• Bulk scrape, extract, or attempt to download entire model outputs for training or unauthorised purposes
• Violate third-party intellectual property rights (copyright, trademark, trade secrets) via AI generation

9. Service Levels

Service Level Agreement (SLA):

• Web dashboard: 99.5% uptime target (Firebase/Google Cloud infrastructure)
• Desktop application: No uptime guarantee (runs on your own hardware)
• Support response: Growth and Scale — within 24 hours on business days.

You are responsible for maintaining backups of critical data on your local machine.

10. Desktop Software Licence

Your subscription grants you a non-transferable right to use the ClawConnect Desktop application on your devices for the duration of your active subscription (or perpetually for grandfathered one-time licence holders).

Device Binding: Each licence key can be bound to one device (identified by SHA-256 hash of hardware identifiers). Additional devices require additional licences or subscription seats as applicable.

Licence Transfers: Due to device binding, licences cannot be transferred to another device without admin assistance. If you need to transfer a licence (e.g., replacing a device), contact support@clawconnect.co and we can unbind it for a new device.

11. Intellectual Property and Content Ownership

ClawConnect IP: ClawConnect's original content, features, functionality, and code are owned by ClawConnect and are protected by copyright and other intellectual property laws. You may not copy, modify, or distribute the Service without written permission.

Your Content: You retain full ownership of all input and output created using the Service (conversations, configurations, automations, AI-generated content, etc.). By using the Service, you grant ClawConnect a non-exclusive, worldwide, royalty-free licence to:

• Store, process, and maintain your content to provide the Service
• Use aggregated, anonymised data for improving our AI models and Service
• Analyse usage patterns and performance (with PII redaction)

We will not sell or licence your content to third parties. AI-generated outputs are provided "as-is" and you are responsible for verifying accuracy and appropriateness before use.

12. Warranty Disclaimer and Limitation of Liability

Disclaimer: ClawConnect is provided "as-is" without any warranties, express or implied. We make no warranty that:

• The Service will meet your requirements
• The Service will be uninterrupted, error-free, or virus-free
• AI-generated outputs will be accurate, complete, or free from bias
• Any content obtained through the Service is suitable for your intended purpose

AI Output Responsibility: You are solely responsible for reviewing, fact-checking, and appropriately using AI-generated outputs. AI is not suitable for medical diagnosis, legal advice, financial advice, or critical safety-related decisions without human review.

Limitation of Liability: To the maximum extent permitted by Australian law, ClawConnect shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or A$100, whichever is greater. Nothing in these terms excludes or limits liability that cannot be excluded under the Australian Consumer Law.

13. Refund Policy

Implementation Fee: The one-time implementation fee is non-refundable once the onboarding session has commenced. If we are unable to begin your implementation within 14 days of payment due to our fault, you are entitled to a full refund.

Subscriptions: No refunds are issued for partial billing cycles. If you cancel, your subscription remains active until the end of the current billing cycle.

Credit Refunds: AI credits are non-refundable once used. Unused credits will be refunded only in the case of accidental duplicate charges or billing errors, at our discretion.

Dispute Resolution: If you believe a charge is incorrect, contact support@clawconnect.co within 30 days of the charge. We will investigate and resolve billing disputes promptly.

14. Suspension and Termination

Our Right to Suspend/Terminate: We may suspend or terminate your access for any of the following reasons:

• Violation of these Terms (including Acceptable Use)
• Non-payment of subscription (after 7-day notice)
• Abuse of AI models (generating illegal, harmful, or prohibited content)
• Unauthorised access attempts or security threats
• Circumvention of security or billing controls

For minor violations, we will attempt to notify you and give you 7 days to remedy the issue. For serious violations (hacking attempts, illegal content, payment fraud), we may suspend immediately without notice.

Your Right to Delete: You may delete your account at any time from the Billing section. Upon account deletion, all data (conversations, configurations, API keys, etc.) will be permanently deleted within 30 days. Billing records required for tax compliance will be retained for 7 years.

15. Third-Party AI Provider Terms

When using platform-mode AI credits, you are subject to the terms and policies of the AI providers whose models you use (OpenAI, Anthropic, Google, xAI, etc.). By using platform credits, you agree to comply with each provider's terms of use and usage policies.

ClawConnect is not responsible for changes to provider terms, pricing, or model availability; provider suspension or account restrictions; quality, accuracy, or appropriateness of AI outputs; or provider privacy policies and data handling practices.

If an AI provider restricts or removes access to their models, we will notify you and credit equivalent platform credits for any unused balance.

16. Indemnification

You agree to indemnify and hold harmless ClawConnect, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or applicable laws, your misuse of the Service, AI-generated content you create that infringes third-party IP rights or harms others, and your violation of third-party AI provider terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Nothing in these terms limits your rights under the Australian Consumer Law.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or the in-app announcement system at least 14 days before they take effect. Continued use after changes constitutes acceptance.
